These Terms of Service ("Terms") govern your access to and use of the website located at vestryinternational.com (the "Site") and any related services provided by Vestry International ("Vestry," "we," "our," or "us"). By accessing the Site or engaging with us, you agree to be bound by these Terms.
If you are accepting these Terms on behalf of a firm, you represent that you have the authority to bind that firm.
02 / ServicesServices Provided
Vestry is an operator-led growth firm. We provide educational and operational services to qualified financial-services firms — including positioning, offer design, GTM systems, conversion architecture, attribution, and related operating support.
03 / EligibilityEligibility & Fit
The Site and our services are intended for principals, executives, and authorized representatives of financial-services firms. By submitting a strategy session request, you confirm that you are at least 18 years of age and authorized to engage on behalf of your firm.
We reserve the right to decline any engagement at our discretion based on fit, regulatory considerations, conflicts, or capacity.
04 / EngagementsEngagements & Fees
Specific deliverables, timelines, fees, and payment terms for any engagement will be set out in a separate written engagement letter or statement of work executed by both parties. In the event of any conflict between these Terms and an executed engagement letter, the engagement letter controls for that engagement.
- Fees: Fees are quoted in U.S. dollars unless otherwise specified and are non-refundable except as expressly stated in the engagement letter.
- Payment: Invoices are due on the terms set out in the engagement letter. Late amounts may accrue interest at the lower of 1.5% per month or the maximum permitted by law.
- Expenses: Reasonable, pre-approved out-of-pocket expenses incurred for the engagement are billed at cost.
05 / UseAcceptable Use
You agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable regulation.
- Attempt to gain unauthorized access to any portion of the Site, our systems, or related infrastructure.
- Interfere with the operation of the Site, including by introducing malicious code, scraping at scale, or running automated processes that impose an unreasonable load.
- Misrepresent your identity, your firm's identity, or your authority.
- Use any Vestry materials to support claims that are misleading, unsubstantiated, or non-compliant with applicable financial-services rules.
06 / IPIntellectual Property
The Site and all content, design, code, marks, frameworks, methodologies, and materials made available by Vestry are owned by us or our licensors and are protected by intellectual-property laws.
Limited license to Site content
We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for legitimate evaluation of our services. This license does not include the right to reproduce, redistribute, or create derivative works.
Engagement deliverables
Ownership and license terms for materials produced during a paid engagement will be governed by the executed engagement letter. Absent specific terms, Vestry retains rights to its frameworks, templates, code, and methodology; the client receives a license to use bespoke deliverables for the agreed internal purpose.
07 / ConfidentialityConfidentiality
Information exchanged in connection with a strategy session or engagement is treated as confidential by both parties and used only for the purpose of evaluating or performing the engagement. Specific confidentiality obligations are set out in the engagement letter.
08 / DisclaimersDisclaimers
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
09 / LiabilityLimitation of Liability
To the fullest extent permitted by law, Vestry, its founders, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business opportunity, or goodwill — whether based on contract, tort, negligence, strict liability, or otherwise — arising out of or related to the Site or our services.
Our aggregate liability arising from or related to a given engagement shall not exceed the fees paid by the client to Vestry under that engagement during the twelve (12) months preceding the event giving rise to the claim.
10 / IndemnityIndemnification
You agree to indemnify and hold harmless Vestry and its founders, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of:
- Your use of the Site in violation of these Terms or applicable law.
- Content, claims, or marketing language that you publish or distribute, including any drawn from materials we prepare for you.
- Your firm's regulatory, compliance, or licensing obligations.
11 / TerminationTermination
We may suspend or terminate your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, to us, or to third parties. Termination of an engagement is governed by the executed engagement letter.
12 / LawGoverning Law
These Terms are governed by the laws of the jurisdiction set out in the executed engagement letter, or — absent such an engagement letter — the laws applicable to Vestry's principal place of business, without regard to conflict-of-laws principles. Any dispute arising from these Terms or use of the Site shall be brought exclusively in the courts of competent jurisdiction in that location, unless the parties agree in writing to arbitration.
13 / ChangesChanges
We may modify these Terms from time to time. Updated Terms become effective when posted to the Site. Continued use of the Site after changes constitutes acceptance. The effective date at the top of this document indicates the latest revision.
